Terms of Service

1. Acceptance of Terms

By downloading, installing, accessing, or using the YallAmigo mobile application (the "App"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the App.

The App is operated by a self-employed individual (trabajador autónomo) based in Spain. These Terms are governed by and construed in accordance with the laws of Spain, including Ley 34/2002 de Servicios de la Sociedad de la Información y de Comercio Electrónico (LSSI-CE), and where applicable, the laws of the European Union including Regulation (EU) 2016/679 (GDPR).

2. Description of Service

YallAmigo is an AI-powered messaging application that provides:

• Real-time text messaging between users
• Automatic AI-powered translation of messages between languages
• Voice message recording, transcription, and translation
• File and image sharing within conversations
• Guest access via invite links for unregistered users
• Group conversations with multiple participants
• Friend management and user discovery

3. Account Registration

• You must provide a valid email address, username, and password to create an account.
• You must be at least 14 years of age to create an account (in accordance with Spain's LOPDGDD Art. 7), or the minimum age of digital consent in your jurisdiction if higher.
• You are responsible for maintaining the confidentiality of your account credentials.
• You are responsible for all activities that occur under your account.
• You agree to provide accurate and complete information and to update it as necessary.
• We reserve the right to suspend or terminate accounts that violate these Terms.

4. Guest Access

YallAmigo allows unregistered users to join conversations as guests via invite links. As a guest:

• You may join conversations without creating an account by providing a display name and preferred language.
• Guest sessions are temporary and subject to approval by the conversation host.
• Approved guest sessions expire after 24 hours. The host may end or revoke your session at any time.
• All content policies and acceptable use rules apply equally to guests.
• Messages you send as a guest remain in the conversation after your session ends.

5. Acceptable Use

You agree not to use the App to:

• Send, upload, or share content that is illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable.
• Engage in hate speech, discrimination, or incitement to violence against any individual or group.
• Share sexually explicit content or content involving minors.
• Impersonate any person or entity, or falsely claim an affiliation with any person or entity.
• Send spam, unsolicited messages, or commercial advertising.
• Attempt to gain unauthorized access to other users' accounts or the App's systems.
• Interfere with or disrupt the App's infrastructure, servers, or networks.
• Use automated means (bots, scrapers, etc.) to access the App without prior written consent.
• Circumvent, disable, or otherwise interfere with security features of the App.
• Violate any applicable local, national, or international law or regulation.

6. Content Moderation and Enforcement

We employ automated content moderation systems to help maintain a safe environment. We reserve the right to:

• Remove or block content that violates these Terms or our content policies.
• Temporarily freeze or permanently suspend accounts that violate our policies.
• Terminate guest sessions of users who violate content policies.
• Report illegal content or activities to relevant law enforcement authorities.

If your account is subject to moderation action, you will be notified with the reason. You may appeal moderation decisions by contacting us at admin@yallamigo.com.

7. Intellectual Property

7.1 Our Intellectual Property

The App and its original content (excluding user-generated content), features, functionality, design, and source code are owned by us and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the App without our prior written consent.

7.2 Your Content

You retain ownership of the content you create and share through the App (messages, images, audio, files). By using the App, you grant us a limited, non-exclusive license to process, store, transmit, and display your content solely for the purpose of providing the App's services, including translation and transcription.

This license terminates when you delete your content or account, except where we are required to retain it for legal compliance.

8. AI Translation and Transcription

• The App uses third-party AI services to provide message translation and voice transcription.
• AI translations are provided on an "as is" basis. While we strive for accuracy, automated translations may contain errors and should not be relied upon for critical communications.
• We are not responsible for any misunderstandings, misinterpretations, or consequences arising from inaccurate translations.
• Message content is sent to third-party AI providers for processing. Please refer to our Privacy Policy for details on how your data is handled.

9. Subscriptions and Payments

9.1 Free and Paid Plans

The App offers a free tier with basic features and optional paid subscription plans with enhanced features, including increased audio message limits, larger group sizes, and extended message history.

9.2 Billing and Merchant of Record

• Paid subscriptions are billed through Apple App Store or Google Play Store, depending on your device. Apple and Google act as the merchant of record for all in-app purchases, meaning they are responsible for processing payments, collecting applicable taxes, and issuing receipts.
• We do not process, store, or have access to your payment card details or banking information at any time.
• Subscription prices are displayed in the App before purchase and include any applicable taxes as determined by Apple or Google.
• Subscriptions automatically renew at the end of each billing period unless cancelled at least 24 hours before the renewal date.

9.3 Cancellation and Refunds

• You may cancel your subscription at any time through your Apple App Store or Google Play Store account settings.
• Cancellation takes effect at the end of the current billing period. You will continue to have access to paid features until then.
• Refunds are handled exclusively by Apple or Google in accordance with their respective refund policies. We do not process refunds directly. To request a refund, contact Apple or Google support through your device's app store.

9.4 EU Right of Withdrawal

If you are a consumer in the European Union, you have the right to withdraw from a digital content purchase within 14 days of the transaction, provided that the digital content has not yet been fully delivered or performed. By initiating a subscription and consenting to immediate access, you acknowledge that you waive this right of withdrawal once the service has been provided.

10. Limitation of Liability

To the maximum extent permitted by applicable law:

• The App is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, either express or implied.
• We do not warrant that the App will be uninterrupted, error-free, secure, or free of viruses or other harmful components.
• We do not warrant the accuracy, reliability, or completeness of any AI-generated translations or transcriptions.
• In no event shall we be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the App.
• Our total liability to you for any claims arising from or related to the App shall not exceed the amount you paid for the App in the 12 months preceding the claim, or 100 euros, whichever is greater.

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any liability that cannot be excluded or limited under applicable law, including mandatory consumer protection rights under EU law.

11. Indemnification

You agree to indemnify, defend, and hold harmless YallAmigo and its operator from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from:

• Your use of the App
• Your violation of these Terms
• Your violation of any applicable law or the rights of any third party
• Content you submit, post, or transmit through the App

12. Termination

• You may terminate your account at any time by using the "Delete My Data" feature in the App or by contacting us.
• We may suspend or terminate your account at any time for violation of these Terms, with or without prior notice.
• Upon termination, your right to use the App ceases immediately.
• Account deletion permanently removes your personal data, messages, and files from our systems.
• Sections of these Terms that by their nature should survive termination (including Intellectual Property, Limitation of Liability, Indemnification, and Governing Law) shall survive.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of Spain, without regard to its conflict of law provisions. For consumers within the European Union, mandatory consumer protection laws of your country of residence shall apply to the extent they provide greater protection.

Any disputes arising from these Terms or the use of the App shall be submitted to the competent courts of Spain. EU consumers may also bring proceedings in the courts of their country of residence.

If you are a consumer in the EU, you may also use the European Commission's Online Dispute Resolution (ODR) platform at https://ec.europa.eu/consumers/odr.

14. Changes to These Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms within the App or on our website with an updated "Last updated" date. For material changes that affect your rights, we will provide at least 30 days' notice before the changes take effect.

Your continued use of the App after the effective date of the revised Terms constitutes your acceptance of the changes. If you do not agree to the new Terms, you must stop using the App.

15. Miscellaneous

• Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the App.
• Severability: If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
• No Waiver: Our failure to enforce any right or provision of these Terms shall not be considered a waiver of that right or provision.
• Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
• Language: These Terms are drafted in English. In case of any discrepancy between translated versions and the English version, the English version shall prevail.
